Google przejmuje od HTC dział produkcji smartfonów Pixel

Google poinformował o podpisaniu umowy z HTC dotyczącej przejęcia działu zajmującego się produkcją smartfonów Pixel. (wiadomość jest aktualizowana)

Team HTC ma zajmować się w Google produkcją tej linii telefonów.

Nowe smartfony tej marki zostaną zaprezentowane już 4 października. 

Umowa dotyczy także uzyskanie licencji (bez wyłączności) do własności intelektualnej, czyli patentów należących do HTC.

Wartość transakcji to 1.1 mld dolarów. Kwota ta zostanie przekazana do HTC w gotówce.

HTC twierdzi, że kwota pozyskana z podpisanej umowy pozwoli na kontynuowanie prac nad kolejnym flagowcem pod marką HTC i na rozwijanie platformy VIVE.

Transakcja ma być zamknięta na początku przyszłego roku.

About a year and a half ago, I joined Google to pursue my dream job to create compelling hardware products, built with Google’s smarts at their core. As a first step, we brought together various consumer hardware-related efforts and established a single hardware organization within the company. Our team’s goal is to offer the best Google experience—across hardware, software and services—to people around the world. Last fall, we introduced our first family of Made by Google products, including Pixel smartphones, Google Home, Google Wifi, Daydream View and Chromecast Ultra, and we’re preparing to unveil our second generation of products on October 4. We’re excited about the 2017 lineup, but even more inspired by what’s in store over the next five, 10, even 20 years. Creating beautiful products that people rely on every single day is a journey, and we are investing for the long run.
That’s why we’ve signed an agreement with HTC, a leader in consumer electronics, that will fuel even more product innovation in the years ahead. With this agreement, a team of HTC talent will join Google as part of the hardware organization. These future fellow Googlers are amazing folks we’ve already been working with closely on the Pixel smartphone line, and we're excited to see what we can do together as one team. The deal also includes a non-exclusive license for HTC intellectual property.
In many ways, this agreement is a testament to the decade-long history of teamwork between HTC and  Google. Together, we’ve achieved several mobile-industry firsts, including the first ever Android smartphone, the HTC Dream, also known as the T-Mobile G1 (I loved mine!); as well as the Nexus One in 2010, the Nexus 9 tablet in 2014, and the first Pixel smartphone just last year.
It’s still early days for Google’s hardware business. We’re focused on building our core capabilities, while creating a portfolio of products that offers people a unique yet delightful experience only made possible by bringing together the best of Google software—like the Google Assistant—with thoughtfully designed hardware. MOUNTAIN VIEW, CALIF. AND TAIPEI, TAIWAN— September 21, 2017—Google (NASDAQ: GOOG, GOOGL) and HTC Corporation (TWSE: 2489) today announced a definitive agreement under which certain HTC employees – many of whom are already working with Google to develop Pixel smartphones – will join Google. HTC will receive US$1.1 billion in cash from Google as part of the transaction. Separately, Google will receive a non-exclusive license for HTC intellectual property (IP).

The agreement is a testament to the decade-long strategic relationship between HTC and Google around the development of premium smartphones.

This agreement also supports HTC’s continued branded smartphone strategy, enabling a more streamlined product portfolio, greater operational efficiency and financial flexibility. HTC will continue to have best-in-class engineering talent, which is currently working on the next flagship phone, following the successful launch of the HTC U11 earlier this year. HTC will also continue to build the virtual reality ecosystem to grow its VIVE business, while investing in other next-generation technologies, including the Internet of Things, augmented reality and artificial intelligence.

For Google, this agreement further reinforces its commitment to smartphones and overall investment in its emerging hardware business. In addition to the talented and experienced team of professionals, Google will continue to have access to HTC’s IP to support the Pixel smartphone family. Additionally, this agreement also represents a significant investment by Google in Taiwan as a key innovation and technology hub.

The transaction, which is subject to regulatory approvals and customary closing conditions, is expected to close by early 2018.

Evercore served as financial advisor to HTC and Gibson Dunn and Tsar & Tsai acted as legal counsel. Lazard served as financial advisor to Google and Cleary Gottlieb and Lee & Li acted as legal counsel.

Część pracowników HTC - pracujących przy tworzeniu smartfonów Pixel, przejdzie do Google. Google otrzyma także prawo do korzystania z własności intelektualnej HTC bez wyłączności, w ramach umowy licencyjnej. HTC nadal będzie umacniać swoją pozycję na rynku smartfonów jako lider innowacji.

Transakcja wymaga zatwierdzenia przez instytucje regulacyjne. Jej zamknięcie ma nastąpić na początku 2018 r.
